10. Indemnification

You agree to defend, indemnify, and hold harmless GridRush and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of San Francisco County, California.

12. Dispute Resolution

Before pursuing any legal action, you agree to attempt to resolve any dispute through good faith negotiations. If such negotiations fail, you agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after such changes constitutes acceptance of the new terms.
